Welcome to victoryfoil.com. These Terms and Conditions govern your use of this website and your business transactions with Wuxi Victory New Material Co., Ltd. By accessing this website, requesting a quotation, ordering samples or placing an order, you agree to these terms.
1. Company Information
Wuxi Victory New Material Co., Ltd. is a manufacturer and supplier of PVC decorative films, including wood grain, solid color, marble, metallic, soft-touch, anti-scratch and customized decorative films.
2. Product Information
We aim to present accurate product descriptions, photographs, colors and specifications. However, actual colors and textures may vary because of lighting, screen settings, raw-material batches and production processes.
For customized or color-matched products, the approved physical sample, color code or written specification will be used as the production standard. Website photographs alone should not be treated as an exact color reference.
We reserve the right to improve or modify product specifications without prior notice, provided that confirmed order requirements are not materially affected.
3. Quotations and Orders
Prices shown on this website are for reference only unless clearly stated otherwise. Final prices depend on specifications, thickness, width, quantity, printing requirements, packaging, delivery terms and destination.
An order becomes binding only after:
Product specifications and quantities are confirmed;
A proforma invoice or sales contract is issued;
The required deposit or payment is received; and
Custom artwork, samples or colors are approved when applicable.
Any changes requested after confirmation may affect the price and production schedule.
4. Samples and Customization
Standard samples may be provided subject to availability. Sample charges and shipping costs will be confirmed before dispatch.
Customers may provide reference images, physical samples, artwork or color codes for custom development. Minor differences may occur between samples and mass production because of material and manufacturing tolerances.
The customer is responsible for ensuring that supplied artwork, trademarks and designs do not infringe any third-party rights.
5. Payment
Payment terms, currency and bank details will be stated in the proforma invoice or sales contract.
Production normally begins after receipt of the agreed deposit and final confirmation of all specifications. The remaining balance must be paid according to the agreed terms before shipment unless otherwise confirmed in writing.
Bank charges and intermediary banking fees are the responsibility of the party specified in the quotation or contract.
6. Production and Delivery
Production times are estimates and begin only after payment, specifications and samples are fully confirmed.
Shipping method, delivery terms and responsibility for freight, insurance, customs duties and import taxes will be determined by the applicable quotation, sales contract or Incoterms® rule.
Delivery dates are estimates and may be affected by customs clearance, carrier delays, port congestion, weather, force majeure or other circumstances beyond our reasonable control.
7. Inspection and Claims
Customers should inspect all goods promptly after delivery and before lamination, cutting, installation or further processing.
Claims relating to visible damage, incorrect quantity or obvious defects should be submitted in writing within seven calendar days after receipt. Claims must include the order number, product code, batch information, photographs, videos and a clear description of the issue.
Goods should not be processed or disposed of before we have had a reasonable opportunity to review the claim. Products that have been cut, laminated, installed or otherwise processed may not be eligible for replacement unless a latent manufacturing defect is confirmed.
8. Cancellations and Returns
Customized, printed, color-matched or made-to-order products cannot normally be cancelled or returned after production has started.
Returns require our written authorization. Goods returned without prior approval may be rejected.
If a confirmed manufacturing defect is attributable to us, the appropriate solution may include replacement, repair, credit or refund, depending on the circumstances and the written sales agreement.
9. Intellectual Property
All website content, including text, photographs, graphics, designs and logos, is owned by or licensed to Wuxi Victory New Material Co., Ltd. It may not be copied, reproduced or used commercially without written permission.
Customer-supplied designs remain the property of their respective owners. We will use such materials only to evaluate, sample or manufacture the requested products.
10. Limitation of Liability
To the extent permitted by applicable law, our liability arising from a product order will not exceed the amount paid for the affected goods.
We will not be liable for indirect losses, loss of profit, loss of business, installation costs or consequential damages resulting from improper storage, incorrect application, unsuitable processing conditions or use outside the confirmed product specifications.
Nothing in these terms excludes liability that cannot legally be excluded.
11. Force Majeure
We are not responsible for delays or failure caused by events beyond our reasonable control, including natural disasters, fire, war, epidemic, government restrictions, power shortages, transport disruption, port congestion or supply-chain interruption.
12. Compliance and Import Requirements
Customers are responsible for confirming that products meet the regulations, certification requirements and import rules of the destination country before ordering.
Any specific testing, certification or compliance requirement must be disclosed and agreed upon before the order is confirmed.
13. Governing Law
Unless otherwise agreed in the applicable sales contract, these terms are governed by the laws of the People’s Republic of China.
The parties should first attempt to resolve any dispute through good-faith negotiation. If no resolution is reached, the dispute may be submitted to the competent court in the location of the seller.
14. Changes to These Terms
We may update these Terms and Conditions when necessary. The revised version will take effect when published on this website.
